Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NThread platform and related services (the “Service”), provided by NThread Technologies Pvt. Ltd. (“NThread”, “we”, “us”). By accessing or using the Service, or by signing an order form or pilot agreement that references these Terms, you (“Customer”, “you”) agree to be bound by them.

1. The Service

NThread provides AI-assisted recruiting-intelligence software that helps hiring teams research companies, source candidates, and prioritise shortlists. The specific features, limits, and deliverables available to you are set out in your plan or order form.

2. Eligibility and accounts

You must be authorised to enter into these Terms on behalf of your organisation and be at least 18 years old. You are responsible for your account credentials and for all activity under your account, and you agree to notify us promptly of any unauthorised use.

3. Customer data and confidentiality

“Customer Data” means data you or your users submit to the Service, including candidate information and hiring feedback. You retain all rights to Customer Data. We process it only to provide and improve the Service for you, in line with our Privacy Policy and applicable law. We will not sell Customer Data, and we will not pool it with other customers’ data except in anonymised, aggregated form with your explicit opt-in. Each party will protect the other’s confidential information with reasonable care.

4. Acceptable use

You agree not to:

  • use the Service unlawfully or to infringe the rights of others, including privacy rights;
  • upload data you are not permitted to share;
  • reverse engineer, resell, or attempt to extract the underlying models or methods, except to the extent permitted by law;
  • interfere with or disrupt the integrity or performance of the Service.

You are responsible for using candidate data in compliance with applicable employment, privacy, and data-protection laws.

5. Fees and payment

Fees are set out in your plan or order form and are payable in the currency and cycle stated (for example, monthly or quarterly). Unless stated otherwise, fees are exclusive of applicable taxes. Overdue amounts may accrue interest to the extent permitted by law. Refunds, where applicable, are governed by our Refund Policy.

6. Intellectual property

The Service, including its software, models, and content (excluding Customer Data), is owned by NThread and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Any feedback you provide may be used by us without restriction.

7. Third-party services

The Service may rely on third-party data providers and infrastructure. We are not responsible for third-party services, and their terms may apply to the relevant data.

8. Warranties and disclaimer

We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” without warranties of any kind, including any implied warranty of fitness for a particular purpose. NThread does not guarantee any particular hiring outcome; hiring decisions remain yours.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Each party’s total liability arising out of or relating to these Terms is limited to the fees paid or payable by you for the Service in the twelve months preceding the event giving rise to the claim.

10. Term and termination

These Terms apply for the duration of your subscription or pilot. Either party may terminate for a material breach that is not cured within 30 days of written notice. On termination, your right to use the Service ends, and we will make Customer Data available for export for a limited period, after which it may be deleted.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of India, and the courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction, without regard to conflict-of-laws principles.
